By accessing or using Wedding Binder ("Service"), operated by Wedding Binder Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Description of Service

Wedding Binder is a wedding planning platform that provides tools for managing guest lists, seating arrangements, budgets, vendor relationships, timelines, and other wedding-related planning activities. The Service is provided on an "as is" and "as available" basis.

3. Account Registration

To use certain features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 16 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payments

Wedding Binder offers both free and paid subscription plans. For paid subscriptions:

• Billing: Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected.
• Automatic Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
• Price Changes: We may change subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle.
• Refunds: We offer a 14-day money-back guarantee for new subscriptions. After this period, refunds are provided at our discretion.
• Cancellation: You may cancel your subscription at any time through your account settings. Access continues until the end of the current billing period.

5. User Content

You retain ownership of all content you submit to the Service ("User Content"), including guest lists, photos, notes, and other materials. By submitting User Content, you grant us a limited license to:

• Store, process, and display your content to provide the Service
• Create backups for data protection purposes
• Share content with third parties only as directed by you

You are solely responsible for your User Content and represent that you have all necessary rights to submit it. We do not endorse or guarantee the accuracy of any User Content.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users
• Send spam or unauthorized promotional materials
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Scrape or collect data from the Service without permission
• Use the Service for any illegal or unauthorized purpose

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEDDING BINDER INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Wedding Binder Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. You may request a copy of your data within 30 days of termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in San Francisco, California.

14. Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at [email protected]. If the dispute is not resolved within 30 days, either party may proceed with formal dispute resolution. You agree to resolve any disputes through binding arbitration rather than in court, except for claims that may be brought in small claims court.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
